The deal has closed

SoundHound AI completed its acquisition of LivePerson on 4 September, after LivePerson stockholders approved the transaction. SoundHound retired LivePerson’s outstanding debt as part of the close, leaving the combined company with a debt-free balance sheet.

John Collins becomes chief financial officer of the combined company. He previously served as LivePerson’s CFO, chief operating officer and interim chief executive. John Sabino stays on as chief executive of the LivePerson division.

The completion announcement did not restate a transaction value.

Voice on one side, messaging on the other

The logic of the pairing is coverage. SoundHound sells voice agents — the systems that answer a phone or take an order at a drive-through. LivePerson sells enterprise digital messaging: the web chat, SMS and social channels through which large companies already handle written customer contact.

SoundHound says LivePerson’s messaging infrastructure will be integrated into OASYS, its self-learning Orchestrated Agent System, to produce a single omnichannel product spanning voice, web, mobile, SMS and social. Functional integration is under way, with the combined offerings rolling out over the coming quarters — which is to say the product does not exist yet.

What the combination brings

The assets are a customer base that includes 25 of the Fortune 100 and a patent portfolio of more than 750 patents. SoundHound says the combined company is targeting more than $500m of future revenue from that existing customer base; that is a company target, not a booked figure.

“This merger represents a defining moment for the new agentic AI era,” said Keyvan Mohajer, SoundHound’s chief executive. “Together, we are delivering the most complete AI platform.”

What to watch

Customer-contact software is the part of the enterprise stack where agents have the clearest commercial case and the most crowded field, with the incumbent contact-centre vendors and the frontier labs both pushing into it. Consolidating a voice vendor and a messaging vendor is a bet that owning both channels beats being best in one.

The number to hold the company to is the $500m target, and the date to watch is the first quarter in which the merged product actually ships rather than being described. Debt-free is a good starting position; it is not yet a result.
